Terms of Service

Welcome to Funda HQ. These Terms of Service ("Terms") govern your access to and use of Funda Learn, Funda Create, and the fundahq.com website and related services (together, "Funda," "we," "us," or "our"). By creating an account or using Funda, you agree to these Terms. If you do not agree, do not use Funda.

Funda HQ is currently operated by its founders, and will transfer to a registered company entity once incorporation is complete; references to "Funda HQ" in these Terms mean whichever of these is the operating party at the relevant time.

1. What Funda Is

Funda Learn lets people discover and listen to short, structured audio lessons ("Fundas"). Funda Create lets creators turn source material such as lectures, notes, conversations into audio snippets, using AI-assisted generation.

2. Eligibility

You must be 18 years or older to create an account or use Funda directly. By signing up, you confirm that you are at least 18. We do not currently verify age beyond this self-certification, and Funda's direct signup flow is not directed at, or knowingly offered to, anyone under 18.

If you are a school, teacher, or institution and want to bring Funda to students under 18 (for example, storytelling or classroom Fundas), that access must go through a separate institutional agreement with us, where the institution, not the individual student, is our customer and consents on the students' behalf. Contact us at legal@fundahq.com to set this up. We do not currently support unsupervised individual signup by anyone under 18.

3. Your Account

You're responsible for keeping your login access secure and for all activity under your account. Tell us right away if you think your account has been compromised.

4. Content You Create ("User Content")

When you create, generate, upload, or publish a Funda or any related material (source recordings, text, images, audio), that's "User Content."

You keep ownership of your User Content. By submitting it, you grant Funda HQ a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, translate, adapt (including via AI-generated audio, translation, and voice cloning of your own voice where you've provided it), and display that content in order to operate and improve the Service, and to display it to others according to the visibility setting you choose (Self, Group, or Everyone).

You are solely responsible for your User Content, including for having the rights to any source material you feed into Funda Create.

5. Copyright & Intellectual Property Claims

You may only submit source material you own, have permission to use, or have the legal right to use for this purpose (for example, fair use/fair dealing does not automatically cover uploading someone else's copyrighted book, article, or lecture in full to generate Fundas from it).

If you believe a Funda infringes your copyright, send a takedown notice to legal@fundahq.com with:

• Identification of the copyrighted work
• Identification of the material you claim is infringing, and its location on Funda
• Your contact information
• A statement that you have a good-faith belief the use is unauthorized
• A statement, under penalty of perjury, that the information is accurate and you're authorized to act
• Your physical or electronic signature

We will review valid notices and may remove or disable access to the reported content. We will make reasonable efforts to notify the creator of the removal. A creator who believes content was removed in error may submit a counter-notice to the same address; we may reinstate the content if the claim isn't pursued further within a reasonable time, at our discretion.

Repeat infringers will have their accounts permanently disabled.

6. Prohibited Content & Conduct

You may not use Funda to create, upload, publish, or share content that:

• Is illegal, or promotes or facilitates illegal activity
• Is sexually explicit, or sexualizes minors in any way
• Depicts, promotes, or provides instructions for self-harm, suicide, or eating disorders
• Promotes, incites, or provides instructions for violence, terrorism, or hate against individuals or groups
• Provides instructions for creating weapons, explosives, or hazardous substances
• Harasses, bullies, defames, or threatens any person
• Infringes someone else's intellectual property or privacy rights
• Contains malware or is intended to compromise any system
• Impersonates any person or entity, or misrepresents your affiliation with one
• Constitutes spam, or is deceptive or fraudulent (including deliberately false or misleading educational content presented as fact)

This list is illustrative, not exhaustive. We may remove content or restrict accounts for anything we reasonably determine violates the spirit of this policy, even if not explicitly listed.

7. Moderation & Enforcement

Funda does not proactively review content before it is published. We rely on user reports, automated signals, and periodic review to identify violations.

If we determine, in our sole discretion, that content or an account violates Section 6, we may, without prior notice:

• Remove or disable the content
• Suspend or permanently ban the account responsible, across all Funda products
• Preserve relevant content and account information as needed to comply with law or investigate abuse
• Report content to law enforcement where we believe it involves illegal activity, imminent harm, or child exploitation

Bans under this section are final and not subject to reinstatement except at our discretion. There is no guaranteed right of appeal.

8. AI-Generated Content

Fundas are generated with the help of AI (for summarization, translation, voice synthesis, and cover images). AI-generated content may contain errors, omissions, or inaccuracies. Funda HQ does not guarantee the accuracy, completeness, or fitness of any Funda for any particular purpose (including exam preparation, professional advice, or medical/legal/financial decisions). Use your judgment, and verify anything important against the original source.

9. Government & Law Enforcement Requests

We may access, preserve, and disclose your account information and content to law enforcement, courts, or government authorities where we have a good-faith belief that disclosure is required by law (such as a valid subpoena, court order, or legal process), or is necessary to:

• Comply with legal obligations
• Protect the rights, property, or safety of Funda HQ, our users, or the public
• Investigate or prevent fraud, security issues, or violations of these Terms
• Respond to an emergency involving risk of death or serious physical harm

Where legally permitted, we will attempt to notify you before disclosing your information in response to a legal request, but we're not always able to.

11. Our Intellectual Property

The Funda name, logo, brand, and the Funda platform itself (excluding your User Content) are owned by Funda HQ. You may not copy, modify, or create derivative works of the platform itself.

12. Third-Party Services

Funda relies on third-party providers (for hosting, AI processing, audio generation, email, and analytics) to operate. Your content may be processed by these providers as described in our Privacy Policy.

13. Termination

You may stop using Funda and delete your account at any time by emailing privacy@fundahq.com. We may suspend or terminate your access for violating these Terms, as described in Section 7, or for any other reason with reasonable notice where practical.

14. Disclaimers

Funda is provided "as is" without warranties of any kind, express or implied. We do not guarantee the Service will be uninterrupted, error-free, or that content will be accurate or suitable for any purpose.

15. Limitation of Liability

To the maximum extent permitted by law, Funda HQ and its founders will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us, if any, in the 12 months before the claim arose.

16. Indemnification

You agree to indemnify and hold Funda HQ harmless from any claims, damages, or expenses (including legal fees) arising from your User Content, your violation of these Terms, or your violation of any third party's rights.

17. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Disputes will be subject to the exclusive jurisdiction via arbitration in Bengaluru, Karnataka, India.

18. Changes to These Terms

We may update these Terms from time to time. We'll update the "Last updated" date above, and for material changes, we'll make reasonable efforts to notify active users.
